Conflict Clinic — Participation Agreement & Waiver

Service Provider: Margisons Conflict Strategy & Consulting Inc. (“we,” “us”)

Consultant: Susannah Margison

You: The individual or organization booking this session

By booking and paying for a Conflict Clinic session, you accept the terms below.

1) Nature of the Service — Not Legal Advice; Not Mediation

1.1 The Conflict Clinic is a strategy consultation, not therapy, medical care, or legal services. No legal advice is provided.

1.2 No solicitor-client relationship is created by this session. If you require legal advice, you should retain your own independent legal counsel.

1.3 This is not mediation between parties. It is a private consultation to help you plan, strategize, and make decisions.

2) Confidentiality and Privilege

2.1 We treat your information as confidential and will not disclose it except: (a) with your consent; (b) where required by law or court order; (c) to prevent reasonably foreseeable serious harm; or (d) to professional advisors bound by confidentiality.

2.2 You acknowledge that communications in the Clinic are not protected by solicitor-client privilege or mediation privilege.

3) Technology, Recordings, and Privacy

3.1 Sessions are delivered virtually (e.g., Zoom, email, cloud storage). We cannot guarantee the privacy or security of these platforms. By booking, you accept the inherent risks of electronic communication.

3.2 Sessions are normally recorded and transcribed so you receive:

  • a recording of the session,

  • a written summary of key points, and

  • transcripts with suggested language or wording.

3.3 If you prefer not to be recorded, you must advise us before or during the session. The recording will be turned off, and no summary or transcripts will be provided.

4) Your Responsibilities

4.1 You remain solely responsible for your own decisions, actions, and results.

4.2 We do not guarantee any particular outcome, resolution, or settlement.

5) Booking, Rescheduling, Expiry, Refunds

5.1 Payment in full is required at booking.

5.2 Rescheduling: You may reschedule up to two times with at least 24 hours’ notice. Sessions booked <24 hours in advance are not eligible for rescheduling.

5.3 Expiry: Sessions must be used within 30 days of purchase or are forfeited.

5.4 Refunds: Once a session has taken place, no refunds are provided.

5.5 Late arrival: Arriving more than 10 minutes late without prior notice may be treated as a cancellation without refund.

6) Confidential Materials

Any documents, transcripts, or summaries we provide are for your personal use. They may not be shared, reproduced, or distributed without our consent.

7) Limitation of Liability and Release

7.1 To the maximum extent permitted by Ontario law, Susannah Margison and Margisons Conflict Strategy & Consulting Inc. are not liable for any loss, damage, or claim arising from or connected to the Conflict Clinic.

7.2 You assume all risks associated with using the service, including reliance on strategies or suggestions.

7.3 You release and discharge Susannah Margison and Margisons Conflict Strategy & Consulting Inc. from all claims connected to the Conflict Clinic, except where liability cannot legally be excluded.

7.4 If a court nonetheless finds liability, it will be limited to the amount you paid for the session.

7.5 We are not responsible for indirect, special, incidental, punitive, or consequential damages (e.g., reputational harm, lost profits, personal distress).

8) Conflicts of Interest

We reserve the right to decline or terminate a session if a conflict of interest exists. We may include screening questions in intake forms to identify potential conflicts before an appointment proceeds.

9) Governing Law and Dispute Resolution

9.1 This Agreement is governed by the laws of Ontario and applicable federal laws of Canada.

9.2 If a dispute arises, both parties will first attempt to resolve it through good-faith discussion.

9.3 If unresolved, the parties agree to attempt mediation in Toronto, Ontario, using a mutually agreed mediator.

9.4 If mediation does not resolve the matter, the dispute shall be referred to binding arbitration before a single arbitrator in Toronto, Ontario. The sole monetary remedy available to you, if any, will be a refund of fees paid. Each party will bear its own costs unless the arbitrator orders otherwise.

10) Miscellaneous

10.1 No amendments: This Agreement may not be amended.

10.2 Severability: If any term is unenforceable, the remainder remains in effect.

10.3 Entire Agreement: This Agreement is the entire understanding regarding the Conflict Clinic.

10.4 Acceptance: By booking and paying for a Conflict Clinic session, you accept and agree to these terms.
